Standard Conditions of Sale.
1.DEFINITIONS
1.1 Wellington Bearings means Wellington Bearings Pty Ltd,
ABN 59 004 729 668.
1.2 Contract means the contract entered into between Wellington Bearings and the Customer.
1.3 Customer means the customer purchasing or offering to purchase goods from Wellington Bearings, and where there is more than one customer, the customer's covenants and obligations are joint and several.
1.4 Date of delivery is the date on which the Goods leave Wellington Bearings' premises.
1.5 Goods includes goods manufactured, imported, supplied and/or delivered by Wellington Bearings to the customer or as the customer may direct.
2.0PAYMENT
2.1 Payment for Goods supplied by Wellington Bearings to the customer shall become due thirty days after the Date of delivery of the Goods or otherwise specified in Wellington Bearings' invoice. Payment shall be made to Wellington Bearings, 25 Waldheim Rd., Bayswater, Victoria, Australia, 3153.
2.2 A minimum invoice amount of two hundred dollars exists.2.3 If payment is not made in accordance with Wellington Bearings' conditions then Wellington Bearings shall without prejudice to any other remedy be entitled to disallow discounts.
3.0 DELIVERY OF GOODS
3.1 Wellington Bearings will endeavour to adhere to specified delivery dates but, in no circumstances, will be liable for any loss, damage or injury arising from delay in delivery, whether such delay be caused by Wellington Bearings, its servants or agents, from strikes, fire, accident or any other cause whatsoever.
3.2 Prices are not inclusive of freight charges. Unless contractually agreed customers are obliged to pay freight charges. Wellington Bearings may pay these charges on the customer’s behalf and invoice the customer for the freight charge, otherwise the customer is expected to provide freight account details.
4.0 PROPERTY IN THE GOODS
4.1 Title to the Goods delivered by Wellington Bearings will not pass to the customer until such time as the Goods the subject of the contract and all monies owing to Wellington Bearings on any account whatsoever have been paid.
5.0WARRANTY
5.1 Wellington Bearings hereby warrants that if within twelve (12) months of the date of delivery of any bearing any fault due to faulty workmanship or material can be proved by the purchaser to the satisfaction of Wellington Bearings, provided however, that the purchaser can also prove that the subject bearing has been correctly mounted and lubricated, and that it has not been the subject of abuse, either in service or assembly, then and in that case, Wellington Bearings will at its own cost and at its own option, replace such bearing, provided further however, that such bearing is returned carriage paid to the Wellington Bearings, unless otherwise arranged. Wellington Bearings assumes no responsibility for any loss or damage arising from the use of its products otherwise than as aforesaid and this warranty is in lieu of all other warranties
either expressed or implied.
